These Terms and Conditions ("Terms") govern your access to and use of KiriVM cloud VPS services provided by Sargia Inc. ("Company", "we", "our", or "us").

By accessing, ordering, or using the Services, you agree to be bound by these Terms.

1. Nature of Service

KiriVM provides KVM-based virtual private server hosting, related network connectivity, and account management services.

We do not guarantee that a specific region, upstream provider, IP address, route, hardware profile, or stock level will remain available unless expressly stated in a separate written agreement.

2. User Eligibility and Account Responsibility

You represent that you are legally authorized to enter into these Terms and to use the Services in compliance with applicable laws.

You are responsible for securing your account credentials, server access keys, operating systems, applications, and data.

3. Fees, Billing, and Provisioning

Fees, billing periods, available plans, and provisioning conditions are disclosed through the client area or a separate quotation.

Provisioning time may vary depending on selected region, stock, payment status, risk checks, and operational conditions.

4. Acceptable Use

Your use of the Services must comply with our Acceptable Use Policy and all applicable laws and regulations.

We may suspend, restrict, or terminate Services when we reasonably believe there is abuse, security risk, network harm, or violation of applicable policy.

5. Third-Party Infrastructure and Networks

The Services may rely on data centers, upstream network providers, payment processors, domain registries, security vendors, and other third-party providers.

We do not control every third-party route, maintenance event, or provider-side policy change.

6. Data and Backups

You are responsible for maintaining independent backups of your data unless a separate written agreement states otherwise.

Snapshots, backups, or recovery features, if offered, are operational conveniences and should not be treated as the sole copy of important data.

7. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages arising from the Services.

Our aggregate liability for a claim is limited to the amount you paid for the affected Service during the one month preceding the event giving rise to the claim, unless applicable law requires otherwise.

8. Changes to Terms

We may update these Terms from time to time.

Continued use of the Services after an update constitutes acceptance of the updated Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan.
